By using our services, you represent that:

  • You are using our services for business purposes and not for personal or non-commercial use.
  • All information you provide to us is accurate, current, and complete.

3. Payment Terms

  • Service Fees: You agree to pay the fees for the services you select. All fees will be outlined in a separate agreement or invoice provided by Grow With Amit.
  • Payment Methods: We accept various payment methods, including bank transfers, credit/debit cards, and digital payment platforms. Payment terms will be specified in your service agreement or invoice.
  • Late Payments: Failure to pay within the agreed-upon terms may result in a suspension of services until full payment is made. A late fee may also be applied.

4. Client Obligations

To ensure the effectiveness of our digital marketing services, you agree to:

  • Provide timely and accurate information, materials, and access to any platforms required to perform the services.
  • Approve or provide feedback on deliverables within reasonable time frames.
  • Adhere to the guidelines and policies of third-party platforms (such as Meta, Google, and YouTube) when using our advertising services.
  • Refrain from requesting any advertising content that is illegal, misleading, or violates the policies of advertising platforms.

5. Service Delivery and Timelines

  • Project Timelines: The timelines for delivering services will be outlined in your service agreement. We will make every reasonable effort to meet deadlines but are not liable for delays caused by factors beyond our control, including platform issues, technical disruptions, or client delays in providing required information or approvals.
  • Revisions: Minor revisions to advertising campaigns, creatives, and strategy are included as part of our services. However, significant changes may result in additional fees, which will be communicated upfront.

6. Results Disclaimer

While we strive to achieve the best possible outcomes for your digital marketing campaigns, we do not guarantee specific results, including increased traffic, leads, or sales. The success of advertising campaigns can be influenced by factors such as market conditions, audience behavior, and platform algorithms.

7. Intellectual Property Rights

  • Ownership: All materials, content, and campaigns created by Grow With Amit for your business, including but not limited to ad creatives, copy, designs, strategies, and reports, remain the property of Grow With Amit unless otherwise agreed upon in writing.
  • License: Upon full payment, Grow With Amit grants you a non-exclusive, royalty-free license to use the materials for your business purposes.
  • Trademarks: You grant us a limited license to use your name, logo, and branding solely for the purpose of providing the services.

8. Confidentiality

Both parties agree to keep all sensitive and proprietary information confidential. This includes, but is not limited to, client data, marketing strategies, campaign performance, financial information, and proprietary tools. Confidential information will not be disclosed to any third party without prior consent, except as required by law.

9. Termination of Services

  • Client-Initiated Termination: You may terminate the service agreement at any time by providing written notice. Any payments due up to the termination date must be settled.
  • Agency-Initiated Termination: We reserve the right to terminate or suspend services if you violate these Terms, fail to make payments, or engage in conduct that disrupts our ability to deliver services.
  • Refund Policy: Unless specified otherwise, Grow With Amit does not provide refunds for services already rendered. We may issue partial refunds at our discretion for services not yet delivered at the time of termination.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Grow With Amit shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, profits, or data arising from the use of our services.
  • Our liability, if any, shall be limited to the total amount paid by the client for the specific service that gave rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Grow With Amit, its employees, agents, and affiliates from any claims, liabilities, damages, losses, or expenses arising out of your use of our services, violation of these Terms, or breach of any third-party rights.

12. Third-Party Tools and Platforms

Our services may involve the use of third-party platforms (e.g., Meta, Google, YouTube) to run advertising campaigns. You acknowledge that these platforms are subject to their own terms and conditions, and Grow With Amit is not responsible for any actions, suspensions, or changes made by these platforms that affect your campaigns.

13. Amendments

We reserve the right to update or modify these Terms at any time. Any changes will be posted on our website, and the “Effective Date” will be updated accordingly. Continued use of our services after any amendments constitutes your acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms and your use of our services are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in [City/State of your agency’s office], India.
